Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Ticker-Terminal, including the website at ticker-terminal.com, related mobile applications, and any associated services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy, Investment Disclaimer, and Risk Disclosure. If you do not agree, do not use the Service.

2. Description of the Service

Ticker-Terminal is an informational research and market-analysis tool that provides AI- generated stock research, forecasts, ratings, screeners, portfolio intelligence, earnings insights, alerts, and related features. Ticker-Terminal is not a registered investment adviser, broker-dealer, or financial planner. Nothing in the Service is financial, investment, tax, or legal advice, and nothing constitutes a recommendation to buy, sell, or hold any security.

3. Eligibility & Accounts

You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for maintaining the confidentiality of your credentials and for all activity on your account.

4. No Investment Advice

All content, including AI-generated analysis, is provided for informational and educational purposes only. You are solely responsible for your own investment decisions and should conduct your own independent research and consult a licensed financial advisor before making any investment. Past performance does not guarantee future results. AI predictions may be inaccurate and must not be relied upon as guaranteed outcomes.

5. Assumption of Risk

You acknowledge that investing involves substantial risk, including the risk of losing some or all of your invested capital. You assume all risks associated with using the Service and acting on any information obtained from it.

6. No Warranty; No Guarantee of Accuracy

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied. Ticker-Terminal does not warrant the accuracy, completeness, reliability, timeliness, suitability, or future performance of any information, data, forecast, rating, or output made available through the Service, and expressly disclaims all implied warranties of merchantability, fitness for a particular purpose, non-infringement, and course of dealing.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Ticker-Terminal, its owners, officers, employees, contractors, licensors, or affiliates be liable for any trading or investment losses, missed opportunities, lost profits, lost data, or any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to your use of, or inability to use, the Service, whether based in contract, tort (including negligence), strict liability, or otherwise, even if Ticker-Terminal has been advised of the possibility of such damages. Ticker-Terminal's total aggregate liability for any and all claims arising out of or relating to the Service shall not exceed the greater of (a) the amount you paid Ticker-Terminal in the twelve (12) months preceding the event giving rise to the claim, or (b) US$100.

8. Intellectual Property

The Service, including the Ticker-Terminal name, the Ticker-Terminal Market Sentiment™ index, AI Forecast Lab, AI Portfolio Intelligence, all software, models, prompts, interfaces, text, graphics, logos, and AI-generated outputs made available through the Service, is owned by Ticker-Terminal or its licensors and is protected by copyright, trademark, and other intellectual-property laws. Except as expressly permitted, you may not copy, modify, distribute, sell, lease, publicly display, reverse-engineer, decompile, scrape, or create derivative works from any portion of the Service. Subject to your compliance with these Terms, Ticker-Terminal grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use.

9. Acceptable Use

You agree not to (a) scrape, resell, or redistribute data from the Service; (b) attempt to bypass rate limits, access controls, or entitlement checks; (c) reverse-engineer or probe the security of the Service; (d) use the Service to violate any law or the rights of any third party; or (e) upload malware or otherwise interfere with the Service.

10. Subscriptions & Payment

Paid plans are billed in advance through Stripe (or the relevant app store for mobile in-app purchases) and renew automatically until canceled. You can cancel at any time from Settings → Manage billing; access continues through the end of the paid period. Refunds, price changes, and app-store purchases are governed by our Subscription Terms.

11. Termination

Ticker-Terminal may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including if we believe you have violated these Terms. You may terminate your account at any time from Settings → Delete account. Sections that by their nature should survive termination (including Sections 6–8, 12–14, and this sentence) shall survive.

12. Governing Law

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of California, USA, without regard to its conflict-of- laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

13. Dispute Resolution; Venue; Class-Action Waiver

The parties will first attempt in good faith to resolve any dispute by informal negotiation. If the dispute cannot be resolved within thirty (30) days, either party may commence binding individual arbitration administered by JAMS in San Francisco, California, under its Streamlined Arbitration Rules. Judgment on the award may be entered in any court of competent jurisdiction. Notwithstanding the foregoing, either party may bring an individual action in small-claims court, and either party may seek injunctive or equitable relief in the state or federal courts located in San Francisco County, California, to which the parties consent to exclusive personal jurisdiction and venue for such purposes. You and Ticker-Terminal each waive any right to a jury trial and any right to participate in a class action, class arbitration, or representative action.

14. Indemnification

You agree to indemnify and hold harmless Ticker-Terminal and its owners, employees, and affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your investment decisions, or your breach of these Terms.

15. Changes

We may update these Terms from time to time. If changes are material we will provide reasonable notice (for example, by email or in-app notice). Continued use of the Service after the effective date of updated Terms constitutes your acceptance.
